TERMS AND CONDITIONS

Welcome to DigitaWorks Solutions. By accessing our website, hiring our services, or signing a proposal, you agree to be bound by the following Terms and Conditions ("Terms"). Please read them carefully.

1. Definitions

• "Agency" refers to DigitaWorks Solutions, located at Block 3A, WEA, Karol Bagh, Delhi, 110005.

• "Client" refers to the individual or entity engaging the Agency for services.

• "Services" refers to digital marketing, web development, design, and other related services provided by the Agency.

2. Scope of Services

• The specific services to be provided (the "Scope of Work") will be outlined in a separate written Proposal, Quote, or Invoice agreed upon by both parties.

• Any additional work requested by the Client outside the original Scope of Work will be subject to additional charges at our standard hourly rates or a fixed fee.

3. Fees and Payment Terms

• Invoicing: Invoices will be sent via email. Unless otherwise specified in the proposal, payment is due upon receipt.

• Deposits: A non-refundable deposit (typically 50%) is required before work begins on any project. The remaining balance is due upon project completion or prior to the final release of files/website launch.

• Late Payments: We reserve the right to charge a late fee of 1.5% per month on any overdue invoices. We may suspend services if payments are not made on time.

• Taxes: All fees are exclusive of GST and other applicable taxes, which will be charged to the Client.

4. Client Responsibilities

To ensure the timely completion of the project, the Client agrees to:

• Provide all necessary access credentials (hosting, social media, domains) in a timely manner.

• Provide text, images, and other content required for the project.

• Review and approve deliverables within 5 business days. If no feedback is received, the work will be deemed accepted.

5. Intellectual Property Rights

• Client Ownership: Upon full payment of all fees, the Agency assigns to the Client all rights to the final deliverables (e.g., the final logo, the live website code).

• Agency Rights: The Agency retains the right to use the completed work in its portfolio and marketing materials. The Agency also retains ownership of any pre-existing code, tools, or frameworks used to create the deliverables.

6. Revisions

• The project proposal includes a specific number of revision rounds (typically 2-3 rounds).

• Revisions are limited to necessary adjustments to the presented concepts. Significant structural changes or new design requests will be billed as additional work.

7. Third-Party Services

• We may use third-party tools (e.g., hosting, plugins, APIs) to provide our services.

• DigitaWorks Solutions is not responsible for any interruptions, data loss, or policy changes caused by third-party service providers (e.g., a server outage at GoDaddy or an algorithm change by Google/Facebook).

8. Limitation of Liability

• No Guarantees: While we employ best industry practices, we cannot guarantee specific results (e.g., #1 ranking on Google, specific follower growth, or sales figures) as these depend on third-party platforms.

• Damages: In no event shall DigitaWorks Solutions be liable for any indirect, special, or consequential damages, including loss of profits or data, arising out of the use of our services.

• Cap on Liability: Our total liability to the Client shall not exceed the total amount paid by the Client to the Agency for the specific project in question.

9. Termination

• By Client: The Client may terminate the agreement with written notice. The Client agrees to pay for all work completed up to the date of termination. Deposits are non-refundable.

• By Agency: We reserve the right to terminate the agreement if the Client breaches these Terms (e.g., non-payment, abusive behavior).

10. Confidentiality

Both parties agree to keep all proprietary information exchanged during the project confidential and not to disclose it to any third party without prior written consent.

11. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any legal disputes arising under this agreement shall be subject to the exclusive jurisdiction of the courts located in New Delhi.
